These Terms of Use ("Terms") govern access to and use of the Westpace platform ("Platform"), provided as a Software-as-a-Service (SaaS) solution that offers centralized management of orders, shipping labels, invoices, and performance metrics for sellers operating across multiple marketplaces.
By creating an account, accessing, or using any feature of the Platform, the user ("User") declares that they have read, understood, and fully agreed to these Terms and our Privacy Policy.
If you do not agree with any provision herein, you must refrain from using the Platform.
For the purposes of these Terms, the following terms have the meanings set out below:
To use the Platform, the User must register by providing truthful, complete, and up-to-date information. The User is responsible for the confidentiality of their access credentials and for all actions taken under their Account.
Users may not share access credentials with unauthorized third parties, use another user's Account, or create accounts for fraudulent purposes or on behalf of third parties without proper authorization.
The User must immediately notify Westpace through available support channels if they suspect unauthorized access to their Account.
Westpace grants the User a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for their legitimate commercial activities related to marketplace sales management.
The User agrees not to:
Access to the Platform is subject to the subscription of a plan, in accordance with the commercial terms presented at the time of contracting. Prices and plan conditions may be updated with at least 30 (thirty) days' prior notice to the User.
Failure to pay on agreed dates may result in temporary suspension or permanent cancellation of access, at Westpace's discretion, without prejudice to other measures available to recover outstanding amounts.
The User may cancel their subscription at any time, without penalty, for the period already paid. No pro-rata refunds will be issued for in-progress billing periods, unless otherwise stipulated in the contract.
The Platform integrates with third-party marketplace APIs. Westpace is not responsible for the availability, performance, policies, or changes to those APIs, nor for any downtime resulting from maintenance or unilateral changes made by those third parties.
The User is solely responsible for compliance with the Terms of Use of the integrated marketplaces, including the accuracy of registration data, compliance of listed products, and fulfillment of applicable tax and labor obligations.
All intellectual property rights relating to the Platform — including trademarks, logos, software, design, text, and features — are the exclusive property of Westpace or its licensors. These Terms do not transfer to the User any rights over these assets beyond the license described in Section 4.
User Data remains the property of the User. Westpace claims no ownership over such data and uses it only to the extent necessary to provide the contracted services.
Westpace will use its best efforts to keep the Platform continuously available, but does not guarantee uninterrupted availability. Scheduled interruptions for maintenance, updates, or force majeure events may occur with or without prior notice, depending on urgency.
Westpace reserves the right to modify, suspend, or discontinue Platform features at any time, notifying affected users with reasonable advance notice whenever possible.
To the fullest extent permitted by applicable law, Westpace shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Platform, including loss of profits, loss of data, or business interruption.
Westpace's total liability to the User, in any event, is limited to the amounts paid by the User in the 3 (three) months prior to the event giving rise to the claim.
Westpace may terminate or suspend the User's access immediately, without prior notice, in the event of a breach of these Terms, non-payment, or fraudulent use of the Platform.
Upon account closure, the User may request data export for up to 30 (thirty) days after termination. After this period, Westpace may permanently delete the data in accordance with its Privacy Policy.
Westpace may update these Terms periodically. Material changes will be communicated to Users at least 15 (fifteen) days in advance by email or in-Platform notification. Continued use of the Platform after new terms take effect constitutes tacit acceptance of the changes.
These Terms are governed by the laws of the Federative Republic of Brazil. Any disputes arising from this instrument shall be submitted to the courts of the city of São Paulo, Brazil, with the parties waiving any other jurisdiction, however privileged.
